Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zippl application and website (collectively, the "Service") operated by Zippl Labs LLP ("Zippl", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be able to form a legally binding contract to use the Service. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You are responsible for all activity that occurs under your shop account.

2. Your Business Data

You retain complete ownership of the business data you enter (products, stock items, customer/supplier ledgers, invoices, payments, and related records). You grant us a limited licence to store, process, and sync that data solely to provide the Service.

3. Subscriptions & Free Trial

Every new account starts with a 30-day free trial of the Pro plan. No card is required to begin, and the trial does not convert into a paid plan by itself. After the trial you can continue on the free tier or subscribe to a paid plan. Plan features, prices and billing cycles are shown inside the app at the point of purchase. Paid plans renew automatically at the end of each billing period unless you cancel before the renewal date.

4. Refund and Cancellation Policy

Erroneous or Duplicate Charges

If you believe you have been charged incorrectly, charged more than once, or charged an amount that differs from the applicable price, please contact us at support@zipplapp.com. No fixed 7-day reporting deadline applies to such reports. We will review the reported issue and, where a refund is due, aim to process it within 7 working days after receiving the report, subject to any verification required and applicable payment-processing requirements.

Subscription Cancellation

You may cancel your subscription in accordance with the cancellation process provided by Zippl. Cancellation will stop future renewals where applicable but does not automatically entitle you to a refund for the current subscription period.

No Pro-Rata Refunds

Once a paid subscription period has started, Zippl generally does not provide pro-rata refunds for unused days or partially used subscription periods. This does not exclude refunds for erroneous or duplicate charges, service-related refunds that Zippl approves, or any refund required under applicable law.

Statutory Rights

Nothing in this policy limits any rights or remedies that cannot lawfully be excluded under applicable law.

5. Acceptable Use

You agree not to:

• Use the Service to store or transmit unlawful content;
• Attempt to gain unauthorized access to other merchants' data;
• Reverse engineer, resell, or disrupt the Service; or
• Use the Service in violation of applicable Indian laws and GST regulations.

6. GST & Tax Compliance

Zippl provides software tools to help you record GST-related sales and purchases. You remain solely responsible for the accuracy of your statutory tax filings and compliance. Zippl does not provide formal legal or CA consulting.

7. Offline-First Availability

The Service is offline-first: core billing works without an active network connection and syncs to the cloud when connectivity returns. We do not guarantee uninterrupted availability of third-party cloud connections.

8. Suspension & Termination

You can stop using the Service and delete your account at any time; see Account & Data Deletion. We may suspend or terminate an account that breaches these Terms, that is used unlawfully, or where we are required to do so by law. Except where the breach is serious or we are legally prevented from doing so, we will give you notice and a reasonable chance to put it right first, and we will give you an opportunity to export your data before the account is closed.

9. Changes to the Service and these Terms

We may change the Service and these Terms. If a change materially affects your rights or what you pay, we will tell you by email or inside the app at least 14 days before it takes effect, and the date at the top of this page will change. Continuing to use the Service after that date means you accept the updated Terms. If you do not accept them, you may cancel and delete your account.

10. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, and Zippl shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including loss of profits, loss of business, or loss of data.

Where liability cannot be excluded, our total liability for all claims relating to the Service in any twelve-month period is limited to the total amount you paid us for the Service in the twelve months before the claim arose. Nothing in these Terms limits liability for fraud, or for anything that cannot lawfully be limited.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Before starting formal proceedings, please write to us so we can try to resolve the matter directly. Any dispute that cannot be resolved that way is subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan, India.
